Terms and Conditions – “La Otra Mitad – Hapi Quest” Campaign

1. Campaign Period

The “La Otra Mitad – Hapi Quest” campaign will be valid from Tuesday, January 20, 2026 at 12:00 a.m. (EST) until Friday, February 20, 2026 at 11:59 p.m. (EST).

Any registration, deposit, verification, or referral completed outside this period will not be eligible for the benefits described in this campaign.


2. Participation Mechanics

This campaign is exclusively intended for new Hapi users who register on the platform for the first time during the campaign period and complete the steps outlined below.

Step 1 – Registration and First Deposit

To begin participation, the user (the “Participant”) must:

  • Successfully register on the Hapi application.

  • Complete the identity verification process (KYC).

  • Make their first deposit with a minimum amount of USD $20 during the campaign period.

  • Once this step is completed, the Participant will see an incomplete puzzle (1 of 2 pieces) within the app, representing the start of their participation in the campaign.

Benefit – 0% Fee on the First Deposit

The Participant will receive a 0% fee on their first deposit, subject to the following conditions:

  • The minimum first deposit amount to qualify for the benefit is USD $20.

  • The benefit does not apply to deposits made via cards.

  • The maximum fee refund amount is USD $10 per user.

  • The benefit applies exclusively to the first deposit made during the campaign period.

  • Any fee exceeding the maximum refund amount will be borne by the Participant.

  • The fee refund, if applicable, will be processed in accordance with Hapi’s internal operational procedures and may be reflected in the user’s account within a reasonable timeframe.

This benefit is non-transferable and not cumulative with other promotions, unless expressly stated by Hapi.


Step 2 – Referral Invitation and Deposit

The Participant must invite a third party (the “Referral”) using their personal referral link, available within the Hapi application.

For the Referral to be considered valid, the Referral must:

  • Successfully register on the Hapi application.

  • Complete the identity verification process (KYC).

  • Make their first deposit during the campaign period.


Step 3 – Completed Puzzle

Once both the Participant and the Referral have correctly completed the steps above:

  • The Participant will receive an in-app notification displaying the completed puzzle (2 of 2 pieces).

  • The puzzle will appear fully completed within the application.

  • The Participant will become eligible to receive the benefit described in Section 3.


3. Benefits and Rewards

Upon successfully completing the campaign mechanics, the Participant will receive:

  • A non-cash promotional benefit with a reference nominal value starting from USD $5, which will be automatically applied within the Hapi platform toward the acquisition of a randomly assigned asset.

  • Hapi Securities does not evaluate whether this benefit or the assigned assets are appropriate for the Participant.


Nature of the Benefit

To avoid any doubt:

  • The benefit does not constitute cash, is not withdrawable, and is not transferable.

  • The benefit consists exclusively of an internal promotional credit with a reference nominal value starting from USD $5.

  • The credit is automatically used to acquire an asset within the Hapi platform.

  • Randomness does not determine eligibility for the benefit, but only the specific asset to which a previously earned promotional credit is applied.

  • The acquired asset is not presented as a prize, is not highlighted for promotional purposes, and does not constitute a recommendation, endorsement, promotion, or offer of any security.

  • Any reference to ETFs or stocks in these Terms and Conditions is made solely for transparency purposes. The assets are not promoted, and the promotional benefit does not constitute an offer, recommendation, or solicitation with respect to any security.


Available ETFs (Transparency Purposes Only)

For operational transparency and audit purposes only, the promotional credit may be applied to the acquisition of one of the following ETFs available on the Hapi platform:

  • JETS ETF

  • GOAU ETF

  • SEA ETF

  • WAR ETF

The mention of these ETFs does not imply promotion, recommendation, offer, or solicitation of any security.


Mentioned Stock (Transparency Purposes Only)

  • HIVE

The mention of this stock does not imply promotion, recommendation, offer, or solicitation of any security.


Asset Assignment Probabilities

The promotional benefit will be assigned randomly, based on a predefined probability distribution and subject to operational availability. The assignment may correspond to one of the following assets:

  • 40.00% probability of assignment to JETS ETF, via a fractional share equivalent to USD $5.

  • 40.00% probability of assignment to GOAU ETF, via a fractional share equivalent to USD $5.

  • 10.00% probability of assignment to HIVE Technologies, via two (2) whole shares, with an approximate reference value of USD $6.14.

  • 7.00% probability of assignment to SEA, via one (1) whole share, with an approximate reference value of USD $15.

  • 3.00% probability of assignment to WAR, via one (1) whole share, with an approximate reference value of USD $25.55.

The values indicated are approximate references at the time the campaign was defined and may vary depending on market conditions. The assignment of the benefit does not constitute an investment recommendation and is subject to these Terms and Conditions.

Assignment Methodology:

  • The assignment is performed using a simple random selection mechanism based on fixed probabilities, applying a predefined mathematical logic that ensures equal probability across eligible assets.

  • The process is automatic, non-discretionary, and uniform for all eligible Participants.

The asset assignment is direct and random, with no option for selection by the Participant or Referrer.

All asset references are made solely for transparency purposes and do not constitute promotion, recommendation, offer, or solicitation of any security.


Post-Assignment Restrictions

  • The asset acquired through the promotional benefit may not be sold or liquidated for a minimum period of one (1) business day from its effective assignment.

  • Hapi may reverse, cancel, or liquidate the assigned asset in the event of:

    • reversal or cancellation of the original deposit;

    • failure to meet campaign requirements;

    • detection of fraudulent or abusive activity;

    • operational, technical, or regulatory errors.


Maximum Stock and Budget

  • The estimated maximum stock of the campaign is 1,000 benefits, each with a reference nominal value starting from USD $5 per Participant.

  • The total budget is limited and may vary based on asset market prices at the time of assignment.

  • Once the stock or total budget limit is reached, the campaign will automatically end, even if the campaign period has not concluded.

  • Hapi does not guarantee benefit availability throughout the entire campaign period; eligibility is subject to both compliance with requirements and budget availability.


Clarification on Randomness

  • Randomness applies only to the type of asset assigned.

  • Randomness does not determine eligibility for the benefit, only the specific asset to which a previously earned promotional credit is applied.

  • This campaign does not constitute a raffle, lottery, game of chance, or sweepstakes.


4. Restrictions

  • Only referrals made through the official invitation link generated within the Hapi application will be valid.

  • Each Participant may complete the puzzle mechanics only once during the campaign period.

  • Each Referral may be counted for only one Participant.

  • Invalid actions include:

    • duplicate registrations or accounts;

    • accounts created with false, incomplete, or unverifiable information;

    • deposits not properly completed within the campaign period.

  • Influencers, financial content creators, commercial affiliates, or partners of Hapi may be excluded from the campaign at the Company’s discretion.

  • This promotion may not be combined with other active promotions, benefits, or campaigns, unless expressly stated by Hapi.

Hapi reserves the right to disqualify any Participant who engages in fraudulent, abusive, or campaign-abusive behavior.


5. Use of Name and Image

By participating in the campaign, the Participant authorizes Hapi to use their name, profile photo, and participation status (e.g., completed puzzle) for promotional and communication purposes on the Company’s official channels.

Under no circumstances will financial information, sensitive personal data, or contact information be shared.


6. Legal and Compliance Matters

  • This promotion does not constitute an offer of securities or an investment recommendation.

  • All investing involves risk, including the possible loss of invested capital.

  • Past performance of assets available on the platform does not guarantee future results.

  • Participation in the campaign is subject to Hapi’s Privacy Policy, Customer Agreement, and other applicable legal documents.

  • Benefits granted may generate tax obligations for the Participant, who is solely responsible for determining and fulfilling such obligations.

  • Hapi reserves the right to modify, suspend, or cancel this promotion, including its terms, conditions, benefits, and availability, at any time and without prior notice, at its sole discretion, due to market conditions, regulatory or legal requirements, operational considerations, or other factors.


7. Governing Law

These Terms and Conditions shall be governed by the applicable laws of the jurisdictions in which Hapi operates.

For any dispute, the user agrees to submit to the jurisdiction of the competent courts.


8. Acceptance

Participation in the campaign implies full and unconditional acceptance of these Terms and Conditions.
