Terms and Conditions – Referral Campaign: 3 Months of Hapi Prime

This promotional campaign is organized by Hapi Securities, LLC, a broker-dealer member of FINRA and SIPC (hereinafter, "Hapi Securities").

Hapi Securities will run a limited-time promotional campaign directed exclusively at certain users who have been invited to participate through one or more official Hapi communication channels, including email, push notifications, in-app messages, WhatsApp, or other official channels.

The campaign will consist of granting a free three (3)-month subscription to Hapi Prime to the first 100 eligible participants who, during the Campaign Period and in accordance with these Terms and Conditions, complete two (2) valid referrals.

This campaign is exclusively promotional. It does not constitute a public offering of securities, investment recommendation, financial advice, or solicitation to buy or sell financial instruments.

The campaign will be active from Wednesday, April 22, 2026 at 11:00 AM ET through Wednesday, April 29, 2026 at 11:00 AM ET (the "Campaign Period"), corresponding to a period of seven (7) calendar days.

Only referrals completed within the Campaign Period will be considered, based on the timestamp recorded in Hapi Securities' internal systems.

Referrals that complete one or more requirements outside this period will not be considered valid, even if the process was initiated beforehand.

The campaign is valid only for eligible users in Spain, Panama, and Paraguay who have received the corresponding promotional communication. The campaign is void where prohibited and is subject to applicable local regulations.

Only users who meet all of the following conditions may participate: having received a valid invitation to participate in the campaign through an official Hapi communication channel; maintaining an active Hapi account enabled for the referral program; being subject to applicable identity verification (KYC), anti-money laundering (AML), and anti-fraud controls; not being influencers, employees, contractors, promotional affiliates, ambassadors, or users expressly excluded by Hapi Securities for purposes of this campaign; and complying with all requirements set forth in these Terms and Conditions and in the applicable Referral Program Terms and Conditions. Participation in this campaign is personal and non-transferable.

For purposes of this campaign, a "valid referral" means a referral that meets all of the following conditions within the Campaign Period and in accordance with the Referral Program Terms and Conditions: the referred user created their account using the participant's unique referral link; the referred user successfully completed the identity verification / KYC process required by Hapi Securities; the referred user made a first minimum deposit of USD 10 through an eligible deposit method; the deposit was not reversed, cancelled, charged back, returned, rejected, or disqualified through anti-fraud, AML, KYC, or internal review controls; both the minimum deposit and the referred user's completed KYC were fulfilled within the Campaign Period. The mere creation of an account without completion of the minimum deposit and full KYC within the Campaign Period shall not constitute a valid referral for this campaign.

Only fiat deposit methods enabled in the app and permitted under the Referral Program are eligible, subject to availability by country, internal validation, and regulatory controls.

The following are not eligible: cryptocurrency deposits; international transfers; credit or debit card deposits.

Deposits must: originate from the account holder; not have been reversed, cancelled, or charged back; and pass Hapi Securities' internal operational, regulatory, and anti-fraud validations. Hapi Securities may disqualify deposits that show inconsistencies, signs of fraud, suspicious activity, or non-compliance with these Terms and Conditions or the Referral Program.

During the seven (7)-day Campaign Period, the eligible user must complete two (2) valid referrals. The first 100 eligible participants to reach that threshold within the Campaign Period will be eligible to receive the benefit. The determining criterion will be the timestamp of the second valid referral, according to Hapi Securities' internal records, which shall be conclusive and binding to the extent permitted by applicable law. In the event of a timestamp tie, Hapi will resolve the tiebreak based on its definitive internal records.

Eligible participants who qualify as beneficiaries under these Terms and Conditions will receive a free three (3)-month subscription to Hapi Prime, activated on the participant's account.

The reward: is personal and non-transferable; is not redeemable for cash outside the Hapi account; does not constitute interest, yield, or return on investment; does not guarantee financial results or investment performance; may not be withdrawn, transferred, or redeemed outside the platform during the three (3) months following its activation; is not combinable with other promotions, campaigns, or promotional incentives from Hapi Securities, unless expressly stated otherwise; and may be received only once per participant within this promotion. This promotional campaign is independent of Hapi Securities' regular Referral Program and does not modify its general terms, except as expressly set forth herein.

Validation will take place on April 30, 2026. Subscription activation will occur on that same day, subject to successful final validation of eligibility, compliance, anti-fraud, and operational requirements.

Eligibility will be determined by Hapi based on its internal records, operational, anti-fraud, and compliance controls, and shall be final and binding to the extent permitted by law.

Hapi Securities reserves the right to review, validate, reject, revoke, or cancel participation or the reward if it detects, at its sole reasonable discretion and to the extent permitted by applicable law: self-referrals; duplicate accounts; fictitious or non-genuine referrals; fraudulent, abusive, or manipulative activity; non-compliance with these Terms and Conditions; non-compliance with the Referral Program Terms and Conditions; third-party deposits; reversals, chargebacks, returns, or cancellations; documentary or identity inconsistencies; or use of fake, duplicate, or unverifiable accounts. If one or more referrals initially considered valid cease to meet requirements due to a subsequent reversal, chargeback, or fraud finding, Hapi Securities may recalculate the participant's eligibility and revoke the reward accordingly.

This campaign is exclusively promotional; is not conditioned on making investments or trading securities beyond the requirements of the applicable Referral Program; does not constitute an investment recommendation; and implies no guarantee of results. Fulfillment of deposit requirements does not imply an obligation to invest those funds. Deposits do not constitute an investment in themselves. Any investment decision is independent of this promotion. Investing in securities involves risks, including possible loss of principal, and past performance does not guarantee future results.

Participation in this campaign is subject to Hapi's applicable validation processes, internal controls, operational reviews, and anti-fraud policies. Hapi may suspend, reject, invalidate, or cancel participations or rewards if it detects suspicious activity, abuse, fraud, duplication, non-compliance with these Terms and Conditions, or any circumstance that compromises the integrity of the campaign.

Tax obligations arising from the reward are the sole responsibility of the user.

Hapi Securities shall not be liable for: technical failures; communication errors; delays attributable to third parties; connectivity issues; banking restrictions or delays; regulatory changes; force majeure events; or temporary unavailability of deposit methods or technology services.

Hapi Securities reserves the right to modify, suspend, or cancel this promotion in whole or in part, at any time, for operational, regulatory, security, anti-fraud, or force majeure reasons, unless applicable law provides otherwise.

Participation implies full and unconditional acceptance of these Terms and Conditions.
