Terms and Conditions – "Transfer Your Portfolio to Hapi 2026" Campaign

1) Organizer

The campaign is organized by Hapi Securities, LLC ("Hapi"), a broker-dealer registered with the SEC and a member of FINRA and SIPC. Stocks and ETFs are held in custody through Apex Clearing Corporation. The financial institutions and originating brokers do not sponsor or endorse this campaign.

This campaign is unrelated to any previous Hapi portfolio-transfer promotions, whose terms do not apply. Transfers requested before October 15, 2026 are governed by the terms in effect at the time of the request.

2) Benefits

Eligible users who complete an incoming ACATS transfer to Hapi may receive the following, depending on the transferred value:

Transfer value (USD)

Benefit

From $100 up to $499.99

1 month of Hapi Prime at no cost

From $500 up to $999.99

3 months of Hapi Prime at no cost

From $1,000 up to $4,999.99

6 months of Hapi Prime at no cost

From $5,000

6 months of Hapi Prime at no cost + refund of the exit fee charged by the originating broker, up to USD $50

Transfers with a value below USD $100 do not generate a benefit, although they are processed normally.

Benefits are granted only once per user.

This campaign does not require the purchase or sale of any security. It does not constitute investment recommendation or financial, legal, or tax advice.

3) Duration

The campaign is in effect from October 15, 2026 at 12:00 a.m. New York time (ET) and has no predefined end date. It will remain in effect until Hapi decides to end it.

Hapi will announce the end date by updating these Terms and Conditions in its Help Center at least 7 calendar days in advance. Transfers requested before the end date will retain the right to the benefits, provided that:

  • the signed ACATS document is submitted no later than 7 calendar days after the end date; and

  • the transfer is completed (securities available in the Hapi account) no later than 30 calendar days after the end date.

Delays attributable to the originating broker that exceed those deadlines will not entitle the user to the benefits.

4) Eligibility

  • Have an active individual Hapi account in the participant's name, and be of legal age.

  • Applies to both new users and users who already have a Hapi account.

  • Successfully complete Hapi's KYC, AML, sanctions, and anti-fraud processes.

  • Not have previously received a benefit from this campaign.

  • The promotion is void where prohibited.

5) ACATS Transfer Conditions

  • How it starts: the user requests the transfer from the "Transfer portfolio" option in the app or by contacting Hapi support. Hapi prepares the ACATS document, the user signs it and sends it back. See the procedure in "How to transfer your investment portfolio to Hapi?".

  • Origin: the transfer must come from a broker that operates through ACATS (the U.S. broker-to-broker transfer system) and from an account in the same name as the Hapi account holder.

  • What is transferred: ACATS only moves whole shares of stocks and ETFs. Fractional shares are not transferable. Cryptocurrencies are not transferred through ACATS and are not part of this campaign.

  • Transfer value: calculated using the market value of the securities received, as of the date they become available in the Hapi account. The benefit tier is determined by that value, even if the user estimated a different value.

  • One transfer per benefit: the tier is evaluated on the user's first completed incoming ACATS transfer during the campaign period. Separate transfers are not added together to reach a higher tier.

  • Cost at Hapi: receiving securities at Hapi via ACATS is free of charge. The originating broker may charge its own exit fee, which may be refunded under section 6.

6) Exit Fee Refund

  • Applies only to transfers with a value equal to or greater than USD $5,000.

  • Hapi will refund the amount actually charged by the originating broker for that transfer, up to a maximum of USD $50. If the fee was less than USD $50, the exact amount charged is refunded. If it was more, USD $50 is refunded.

  • The user must send support a valid and verifiable proof of the charge (account statement or confirmation from the originating broker) within 30 calendar days after the transfer is completed.

  • The refund will be credited to the Hapi account, in USD, within 10 business days after the proof is validated. It is not paid by any other means.

  • It does not cover taxes, spreads, conversion costs, or any charges other than the transfer fee charged by the originating broker.

7) Hapi Prime

  • It is activated within a maximum of 5 business days after the eligible transfer is completed.

  • The duration (1, 3, or 6 months) runs from the activation date.

  • If the user already has a paid, active Hapi Prime subscription, the free period begins when their current paid period ends.

  • It does not automatically renew with a charge. At the end of the period, the account returns to the standard plan, unless the user voluntarily subscribes to Hapi Prime.

  • If, during the free period, the user transfers out of Hapi the securities received through the eligible transfer, Hapi may end the Hapi Prime benefit from that moment, with no retroactive charge.

  • Hapi Prime benefits and fees are those in effect in the Fee Schedule and in the app, and are subject to change.

  • Personal benefit, non-transferable, and not redeemable for cash.

"Business day" means Monday through Friday, excluding U.S. federal holidays.

8) No Stacking

Benefits cannot be combined with other Hapi promotions applicable to the same transfer, unless Hapi expressly states otherwise. If the user receives free Hapi Prime through another promotion in the same period, they receive only one period, the longest one.

9) Revocation

Hapi may reject, suspend, or reverse benefits when it reasonably determines that the requirements were not met; that the transfer was reversed or canceled; that the supporting proof is false or inconsistent; that there is fraud, abuse, multiple accounts, or simulated transfers between linked accounts; or that the benefit was granted in error.

10) Tax Considerations

In general, an in-kind ACATS transfer does not imply a sale, but its tax treatment depends on each user's situation. Benefits may be subject to taxes. Hapi does not provide tax advice; consult a professional.

11) Limitation of Liability

To the maximum extent permitted by law, Hapi will not be liable for delays, rejections, or errors attributable to the originating broker or financial institutions, or for technical failures beyond its reasonable control.

12) Modification, Suspension, and Cancellation

Hapi may modify, suspend, or cancel the campaign at any time for operational, regulatory, legal, technical, or force majeure reasons. Changes will be published in these Terms and Conditions and will apply prospectively. They will not affect validly acquired benefits or transfers already requested under section 3, except in cases of fraud, abuse, error, or contrary legal provision.

13) Privacy, Governing Law, and Acceptance

Data is processed in accordance with the Privacy Policy. These Terms and Conditions supplement the Customer Agreement and govern only the promotional mechanics. Participating implies full acceptance of them.

14) Affiliation and Risk Notice

Investing involves risk, including the possible loss of principal. Brokerage accounts are self-directed; Hapi does not make investment recommendations. SIPC protects securities and cash up to USD $500,000 per customer (including a limit of USD $250,000 for cash) when a member firm ceases operations; SIPC does not protect against market losses.
